Host Agreement

Introduction

This Host Agreement ("Host Agreement") governs your use of truloop's ticket-selling features as a Host. It applies to any user who activates ticket sales for events they organize on truloop. By tapping "Continue to Stripe" or otherwise activating ticket sales, you agree to this Host Agreement in addition to truloop's Terms of Use, Privacy Policy, and Refund Policy.

This Host Agreement supplements — does not replace — the truloop Terms of Use. Where this Host Agreement and the Terms of Use conflict on host-specific matters, this Host Agreement controls.

1. Who This Applies To

This Host Agreement applies only to users who organize events and sell tickets to them on truloop ("Hosts"). If you only attend events organized by others, this Host Agreement does not apply to you — only the Terms of Use applies.

A "Host" is a truloop user who creates an event and offers paid tickets to it through truloop. A "Guest" is a truloop user who purchases or holds a ticket to such an event.

2. truloop's Role as a Stripe Connect Platform

truloop is a technology platform that connects Hosts and Guests. truloop is not the seller or merchant of record for Host ticket purchases and does not hold the full ticket purchase price as customer funds. Payments flow directly from Guests to Hosts through Stripe.

truloop operates as a "Stripe Connect Platform" as defined in the Stripe Connected Account Agreement. When you create or sell a ticket for a paid event on truloop, you (the Host) are the seller and merchant of record, and Stripe is the payment processor.

truloop is not the seller or merchant of record for Host ticket purchases and does not hold the full ticket purchase price as customer funds. truloop may receive a separately disclosed Platform Service Fee through Stripe Connect as described in Section 5.

3. Connecting Your Stripe Account

To sell tickets, you must connect a Stripe Connect Standard account. By doing so, you separately enter into the Stripe Services Agreement and Stripe Connected Account Agreement directly with Stripe.

To sell tickets through truloop, you must connect a Stripe Connect Standard account ("Stripe Account"). When you do, you separately enter into the Stripe Services Agreement and Stripe Connected Account Agreement directly with Stripe.

Your obligations to Stripe — including identity verification, providing tax identification information (such as SSN, ITIN, or EIN), providing bank account information, KYC/AML compliance, Stripe fees, Stripe Dashboard use, and any IRS Form 1099-K issuance — are governed primarily by those Stripe agreements and applicable law. truloop does not control Stripe's verification, payout, or termination decisions.

Stripe may issue you IRS Form 1099-K directly when your transactions meet applicable reporting thresholds. As of the effective date of this Host Agreement, the U.S. federal threshold is gross payments exceeding $20,000 AND more than 200 transactions per calendar year, per IRS guidance. Some states require lower thresholds. You are responsible for understanding the thresholds that apply to you and for filing your taxes.

4. Your Responsibilities as a Host

As a Host, you are solely responsible for planning, organizing, promoting, and operating your event — including venue, safety, capacity, age verification, permits, licenses, insurance, taxes, refunds, chargebacks, and communications with Guests.

As a Host, you are solely responsible for planning, organizing, promoting, and operating your event, including venue arrangements, safety and security, capacity limits, age verification, alcohol service (if any), permits, licenses, insurance, accessibility, taxes, refunds, chargebacks, and communications with Guests.

You may use Guest information only to operate and administer the relevant event, communicate with Guests about that event, process refunds or support requests, and comply with applicable law. You may not use Guest information for unrelated marketing, resale, profiling, or disclosure to third parties without the Guest's consent.

Without limiting the foregoing, as a Host on truloop you also agree to:

  • (a) Comply with truloop's Acceptable Use rules in Section 6 of the Terms of Use and with Stripe's Restricted Businesses List, and not host events that fall within categories prohibited by truloop or Stripe (including events that promote violence, hate, illegal drugs, weapons, or sexual content prohibited by applicable law).
  • (b) Set and clearly disclose a refund policy for each event before tickets are sold, and issue refunds to Guests through Stripe in accordance with that policy and applicable law.
  • (c) Pay any truloop Platform Service Fee that we disclose for your transactions (see Section 5).
  • (d) Cooperate reasonably with Guests, truloop, and Stripe in good faith to resolve disputes, refund requests, and chargebacks.
  • (e) Comply with all applicable laws, including consumer protection, advertising, anti-discrimination, public-accommodations, alcohol, and tax laws.

5. truloop Platform Service Fee

truloop may charge a Platform Service Fee (an "application fee") on Host transactions, deducted by Stripe from each transaction. The fee will be clearly disclosed to Guests at the time of purchase and to Hosts in their account. As of the effective date of this Host Agreement, the fee is 0%. We will provide at least 30 days' advance notice by email to affected Hosts before increasing the fee.

truloop may charge a Platform Service Fee (an "application fee") on Host transactions, which is deducted by Stripe from each transaction. The fee will be clearly disclosed to Guests at the time of purchase and to Hosts in their account. As of the effective date of this Host Agreement, the fee is 0%. We will provide at least thirty (30) days' advance notice by email to affected Hosts before increasing the fee.

If a Host issues a refund or cancels an event, truloop may automatically refund any Platform Service Fee it collected for the refunded or canceled portion of the transaction.

6. Refunds and Chargebacks

Refunds and chargebacks for ticket purchases are issued and responded to by you, the Host, through Stripe. truloop does not issue refunds and is not a party to refund disputes or chargebacks between Hosts and Guests.

The applicable rules for refunds — including how event cancellations, material changes, and force majeure are handled — are set out in our Refund Policy, which applies to all Host-organized ticket sales on truloop and which you agree to comply with as a Host.

To the extent permitted by applicable law and our Privacy Policy, truloop may provide you (the Host) with transaction, ticket, attendance, or policy-acceptance information reasonably necessary to respond to a refund request, chargeback, or dispute.

7. Tax Allocation

Hosts are responsible for determining, collecting, reporting, and remitting all taxes applicable to their events and ticket sales, except where truloop is required by law to do so. truloop may make tax tools available, but assumes no responsibility for your tax compliance.

To the extent permitted by applicable law and based on the current structure of the service, truloop acts as a technology service provider for Host ticket sales. Hosts are responsible for determining, collecting, reporting, and remitting all taxes applicable to their events and ticket sales, except where truloop is required by law to do so.

truloop may, at a Host's election, enable third-party tax tools (such as Stripe Tax) for the Host's use, but assumes no responsibility for the Host's tax compliance.

8. Host-Specific Content and Event Rules

In addition to the general Acceptable Use rules in the Terms of Use, Hosts are subject to additional restrictions because they are selling tickets to in-person events.

As a Host, you may not:

  • Host events that fall within Stripe's Restricted Businesses List or that promote violence, hate, illegal drugs, weapons, or sexual content prohibited by applicable law.
  • Sell tickets to events whose key terms (date, time, location, principal performer, age restriction, capacity) you do not control or do not intend to honor.
  • Use truloop or Stripe to facilitate unauthorized resale of tickets, money laundering, or any scheme that misrepresents the nature of the transaction.
  • Discriminate against Guests on any basis prohibited by applicable law (including civil rights, accessibility, and public accommodations laws).
  • Collect sensitive personal information from Guests through event forms unless expressly permitted by truloop and required for lawful event administration.

9. Suspension and Termination of Host Privileges

truloop may suspend or terminate Host privileges for material violations of this Host Agreement, the Terms of Use, the Refund Policy, the Privacy Policy, applicable law, or Stripe rules. Stripe may independently suspend or terminate your Stripe Account under its own agreements.

truloop may, in its reasonable discretion and where lawful, suspend or terminate your access to Host features, hold or release pending payouts via Stripe consistent with applicable law, or remove events that we reasonably believe violate this Host Agreement, the Terms of Use, the Refund Policy, the Privacy Policy, applicable law, Stripe rules, or that create material legal, safety, or platform integrity risks.

Stripe may independently suspend, freeze, or terminate your Stripe Account under the Stripe Services Agreement and Stripe Connected Account Agreement. truloop does not control Stripe's decisions and is not responsible for the consequences of Stripe's actions.

10. Relationship to truloop's Other Terms

This Host Agreement supplements truloop's Terms of Use, Privacy Policy, and Refund Policy. Where this Host Agreement and the Terms of Use conflict on host-specific matters, this Host Agreement controls. The Privacy Policy governs all data handling. The Refund Policy governs the substantive rules for Host-Guest refunds and chargebacks.

This Host Agreement is to be read together with truloop's Terms of Use, Privacy Policy, and Refund Policy. To the extent of any conflict between this Host Agreement and the Terms of Use on host-specific matters, this Host Agreement controls. The Privacy Policy governs all collection, use, sharing, and retention of personal information. The Refund Policy governs the substantive rules for refunds, cancellations, material changes, and chargebacks.

11. Disclaimers, Liability, and Indemnity (Host-Specific)

truloop is provided to Hosts "as is." You are responsible for your events and the people who attend them. You will indemnify truloop for claims arising from your events, your use of Guest data, or your violation of this Host Agreement.

truloop makes no representation or warranty regarding the volume of tickets you will sell, the conduct of Guests, the timing or success of Stripe payouts, or the outcome of any refund or chargeback dispute. truloop is not responsible for your event's quality, safety, legality, or accuracy of advertising, all of which are your responsibility.

In addition to the indemnity in the Terms of Use, you agree to indemnify, defend, and hold harmless But Beautiful Co. and its officers, directors, employees, and agents from any claims, damages, and reasonable attorneys' fees arising from your events, your use of Guest information, your violations of this Host Agreement or Stripe agreements, your tax obligations, or refund or chargeback disputes between you and Guests.

The Limitation of Liability in Section 12 of the Terms of Use applies to this Host Agreement.

12. Dispute Resolution

Disputes between you and truloop arising out of this Host Agreement are subject to the Dispute Resolution provisions in Section 15 of the Terms of Use, including binding arbitration and the class action waiver. Disputes between you and Stripe are governed by the Stripe Services Agreement and the Stripe Connected Account Agreement.

Disputes between you and truloop arising out of this Host Agreement are subject to the Dispute Resolution and Governing Law provisions in Section 15 of the Terms of Use, including binding arbitration administered by AAA or JAMS, the class action waiver, and the 30-day opt-out right.

Disputes between you and Stripe are governed by the Stripe Services Agreement and the Stripe Connected Account Agreement. Disputes between you and a Guest are between you and the Guest; truloop is not a party to such disputes.

13. Changes to This Host Agreement

We may update this Host Agreement with at least 30 days' advance notice for material changes to economic terms (such as Platform Service Fee). Continued use of Host features after changes take effect means you accept them.

We may update this Host Agreement from time to time. For material changes (including changes to the Platform Service Fee or fundamental Host obligations), we will provide at least 30 days' advance notice by email to active Hosts. Continued use of Host features after changes take effect constitutes acceptance.
